1. Acceptance of Terms

Welcome to Care-Excellence. By accessing or using our caregiver marketplace platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Care-Excellence, a caregiver marketplace service operating in Bangladesh.

2. Service Description

Care-Excellence is an online marketplace platform that connects customers seeking caregiving services with qualified caregivers. Our services include:

  • Caregiver profile listings and verification
  • Customer inquiry and matching services
  • Application processing for aspiring caregivers
  • Background verification and credential checking
  • Communication facilitation between parties

Important: Care-Excellence is a marketplace platform. We facilitate connections but are not a direct employer of caregivers nor a direct provider of caregiving services.

3. User Accounts

3.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password
  • Not share your account with others
  • Notify us immediately of unauthorized account use

3.2 Account Types

  • Customer Accounts: For individuals seeking caregiving services
  • Caregiver Accounts: For verified caregivers offering services
  • Admin Accounts: For Care-Excellence staff (by invitation only)

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

4. Caregiver Verification Process

4.1 Application Requirements

Caregiver applicants must submit:

  • Valid national ID card (front and back)
  • Recent selfie photograph
  • Academic certificates (minimum 2)
  • Citizenship certificate
  • Professional certificates (if applicable)
  • Relative contact information and ID documents
  • Video introduction

4.2 Verification Process

All applications undergo a verification process that may include:

  • Document authenticity verification
  • Background checks
  • Reference verification
  • Interview (if required)

Verification does not guarantee employment or customer engagements. We reserve the right to reject any application without providing specific reasons.

4.3 Application Status

Applications may be:

  • Pending: Under review
  • Accepted: Approved to join the platform
  • Rejected: Not approved (data deleted after 90 days)

5. User Obligations

5.1 General Obligations

All users must:

  • Comply with all applicable laws in Bangladesh
  • Provide truthful and accurate information
  • Respect the privacy of others
  • Not engage in fraudulent or deceptive practices
  • Not misuse the platform or interfere with its operation
  • Not harass, threaten, or harm other users

5.2 Caregiver Obligations

Caregivers must:

  • Maintain valid credentials and certifications
  • Update profile information when circumstances change
  • Respond professionally to customer inquiries
  • Honor commitments made to customers
  • Report any safety concerns to Care-Excellence

5.3 Customer Obligations

Customers must:

  • Treat caregivers with respect and dignity
  • Provide accurate information about care needs
  • Honor payment agreements with caregivers
  • Report any concerns about caregiver conduct

6. Payment Terms

Payment arrangements are made directly between customers and caregivers. Care-Excellence does not process payments or take commission at this time.

Note: Future payment processing features may be added, which will be governed by separate payment terms.

7. Intellectual Property

All content on Care-Excellence, including text, graphics, logos, and software, is the property of Care-Excellence or its licensors and is protected by Bangladesh and international copyright laws.

You may not:

  • Copy, modify, or distribute our content without permission
  • Use our trademarks or branding without authorization
  • Reverse engineer or decompile our software
  • Create derivative works from our platform

8. Limitation of Liability

Important: Care-Excellence is a marketplace platform. We do not employ caregivers or provide caregiving services directly.

8.1 No Guarantee

We do not guarantee:

  • The quality, safety, or legality of services provided by caregivers
  • The accuracy of caregiver profiles or credentials
  • That customers will find suitable caregivers
  • That caregivers will secure employment
  • Uninterrupted or error-free platform operation

8.2 Liability Limits

To the maximum extent permitted by law, Care-Excellence shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of profits, data, or goodwill
  • Actions or omissions of caregivers or customers
  • Disputes between caregivers and customers

Our maximum liability shall not exceed the fees paid to us in the past 12 months (currently zero, as we don't charge fees).

9. Indemnification

You agree to indemnify and hold harmless Care-Excellence, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your provision or receipt of caregiving services

10. Dispute Resolution

10.1 Between Users

Disputes between caregivers and customers should be resolved directly between the parties. Care-Excellence may provide mediation assistance but is not obligated to do so.

10.2 With Care-Excellence

Any disputes with Care-Excellence shall be governed by the laws of Bangladesh and resolved in the courts of Bangladesh. Before pursuing legal action, parties agree to attempt good-faith negotiation for 30 days.

11. Privacy

Your use of Care-Excellence is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data practices.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the modified Terms.

13. Termination

Either party may terminate their account at any time. Upon termination:

  • Your access to the platform will be revoked
  • Data will be retained according to our Privacy Policy
  • Outstanding obligations remain in effect
  • Provisions intended to survive termination will continue

14. General Provisions

14.1 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

14.2 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

14.3 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Care-Excellence.
